Dynamic Evolution Mechanism of Internal Legitimacy of Emerging Market Enterprises after Cross-border M&A——Based on the Perspective of Social Psychology

摘要: 本文旨在探究新兴市场企业进行跨国并购后,面临"来源国劣势"的独特情境,如何处理组织内部合法性的问题。基于社会心理学视角,通过对联想并购IBM公司PC事业部后2005-2014年的纵向案例研究,分析企业跨国并购后,总部合法性战略与子公司员工工具合法性、关系合法性和道德合法性评价之间的互动关系,以及两者关系互动随时间演化的动态机制。基于此,构建了企业跨国并购后组织内部合法性动态演化的过程模型。该模型强调两种重要的动态性:第一,企业跨国并购后总部合法性战略与子公司合法性判断之间的动态性;第二,企业跨国并购后总部合法性战略的调整与子公司合法性判断随时间演化的动态性。本研究构建的理论模型对跨国公司合法性、企业跨国并购后整合以及跨国公司母子公司关系的研究做出了贡献。

Abstract: This paper takes a social psychological approach to study how multinational corporations from emerging market after cross-border M&A build internal legitimacy under the unique situation of liability of origin. Applying a case study about the integration process of Lenovo's acquisition of IBM's PC business unit from 2005 to 2014, we analyze, based on instrumental, relational, and moral considerations, the interplay between the legitimation strategies of the headquarters of enterprises after cross-border M&A and subsidiary legitimacy judgement, and how the relationship between the two develops over time. From this analysis, we derive a process model of the internal legitimacy evolution of enterprises after cross-border M&A. The model highlights two important dynamics. The first is a dynamic between legitimation strategies and legitimacy judgment, with focus on how this is influenced by local subsidiary contexts. The second is a temporal dynamic, with focus on how both the legitimation strategies and legitimacy judgments evolve over time. Our model contributes to researches on legitimacy in multinational companies, integration of enterprises after cross-border M&A and legitimacy in MNC headquarters-subsidiary relationships.
